Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and TicketGenie LLC ("TicketGenie," "we," "us," or "our") governing your access to and use of the TicketGenie platform, website, API, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" refers to both you as an individual and the organization you represent.

2. Eligibility and Authority

You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms and that your use is for legitimate business purposes.

3. Description of the Service

TicketGenie provides a software-as-a-service (SaaS) analytics platform that aggregates, processes, and displays ticket market data — including pricing, inventory, sales, and event information — from third-party ticketing platforms and other market sources. The Service includes a web application, REST API, alerts, saved lists, and related tools.

TicketGenie does not sell, resell, broker, or facilitate the purchase or sale of event tickets. Market data is provided for informational and analytical purposes only.

4. Accounts

Registration. You must provide accurate, complete, and current information when creating an account. Each individual may maintain only one account. Each organization may maintain one account per subscription, with additional user seats available through team plans.

Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at billing@ticketgenie.io if you suspect any unauthorized access to or use of your account.

Account sharing is prohibited. Your account credentials, login sessions, and access are personal to you (or, for team plans, to the specific team members added by the account administrator). You may not share, lend, transfer, or sell your account or credentials to any other person or entity.

Team accounts. The account administrator who subscribes to a team plan binds the organization to these Terms and is responsible for ensuring all team members comply. The administrator controls team access, member roles, and billing.

5. Acceptable Use

You agree not to, and will not permit any third party to:

• Except as expressly permitted in your plan, order form, or other written agreement with us, share, redistribute, resell, sublicense, or make available to third parties any data, analytics, reports, or information obtained through the Service or API
• Share, publish, or transfer your API keys, access tokens, or authentication credentials to any third party
• Use the Service or its data to build, train, or improve a competing or substantially similar product or service, including by training machine-learning models for a competing offering
• Scrape, crawl, or use automated means to access the Service outside of the authorized API
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data models of the Service
• Circumvent, disable, or interfere with rate limits, access controls, security features, or other technical restrictions of the Service
• Access or attempt to access another user's account, data, or credentials without authorization
• Use the Service in violation of any applicable law, regulation, or third-party right
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Introduce viruses, malware, or any other harmful code into the Service
• Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use

6. API Terms

License. Subject to these Terms, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to access the TicketGenie API solely for your internal business purposes in connection with your authorized use of the Service, except as expressly permitted in an applicable order form or written agreement.

API keys. API keys are confidential credentials tied to your account. You must not share, publish, embed in client-side code, or otherwise expose your API keys. You are responsible for all usage associated with your API keys, whether or not you authorized it.

Rate limits. We may impose rate limits, request quotas, and other usage restrictions on API access. Exceeding these limits may result in throttling, temporary suspension, or termination of your API access.

Data restrictions. Data obtained through the API is licensed, not sold. You may use API data only for your authorized use of the Service and in accordance with your subscription plan, order form, or written agreement. We may specify reasonable usage, retention, or deletion requirements for API data in your plan, order form, written agreement, product documentation, or written notice when needed to protect the Service, comply with law, or honor third-party data restrictions.

No reselling. You may not sell, lease, sublicense, or redistribute access to the API or any data obtained through it except as expressly permitted in an applicable order form or written agreement.

Changes and deprecation. We may modify, deprecate, or discontinue API endpoints at any time. Where reasonably practicable, we may provide advance notice for breaking changes.

7. Subscriptions and Billing

Plans. Access to the Service requires a subscription. Plan features, pricing, billing intervals, renewal terms, and usage limits are described on our pricing page, checkout flow, order form, or in-product billing page and may change from time to time.

Free trials. We may offer free trial periods at our discretion. Before a trial begins, applicable trial, renewal, payment, and cancellation terms are presented in the checkout flow, offer terms, or order form as required for that offer. Unless you cancel before the trial period ends, your subscription may automatically convert to the disclosed paid plan. Free trials are limited to one per person and one per organization unless we expressly agree otherwise in writing. We reserve the right to deny, suspend, terminate, or ban accounts that we suspect are being used to abuse, evade, or obtain multiple free trials. You may cancel a trial through your account settings or through any other cancellation method we make available.

Payment and renewal. Payments are processed through Stripe. By subscribing, you authorize TicketGenie and Stripe to charge your payment method on a recurring basis for the applicable subscription fees, taxes, and other charges disclosed at checkout until you cancel. Subscriptions renew automatically at the billing interval disclosed at checkout or in your order form unless canceled before renewal. You agree to Stripe's terms of service.

Cancellation. You may cancel your subscription at any time through your account settings or through any other cancellation method we make available at checkout. Cancellation takes effect at the end of the current billing period unless applicable law requires otherwise or the applicable plan, order form, or checkout flow states otherwise.

Plan changes and failed payments. Upgrades may take effect immediately and may result in prorated charges. Downgrades generally take effect at the next billing period unless stated otherwise at the time of change. If a payment fails, we may retry the charge, suspend access, or terminate the subscription after reasonable notice.

Refunds. Subscription fees are non-refundable except where required by applicable law. We do not provide refunds or credits for partial billing periods, unused features, or early termination.

Price changes. We may change subscription pricing with advance notice as required by applicable law or as disclosed through the Service, checkout flow, order form, or billing page. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

8. Intellectual Property

The Service, including its software, design, features, content, trademarks, and documentation, is and remains the exclusive property of TicketGenie and its licensors. These Terms do not grant you any ownership interest in the Service.

Feedback. If you provide us with suggestions, ideas, feedback, or other input regarding the Service, you grant us an unlimited, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such feedback into the Service without obligation to you.

9. Third-Party Data and Services

The Service aggregates data from third-party ticketing platforms and other market sources. TicketGenie does not control, guarantee, or take responsibility for the accuracy, completeness, timeliness, legality, or availability of any third-party data displayed within the Service.

Your use of the Service may be subject to the terms and conditions of third-party services (such as Stripe for payments). We are not responsible for the practices or policies of any third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, TIMELINESS, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, TicketGenie does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Any data, analytics, or information provided through the Service will be accurate, complete, current, or reliable
• The Service will meet your specific requirements or expectations
• Any errors or defects in the Service will be corrected

Not financial or investment advice. The data and analytics provided through the Service are for informational purposes only. They do not constitute financial, investment, purchasing, or selling advice. You should not rely solely on data from the Service when making purchasing, selling, or investment decisions related to event tickets.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TICKETGENIE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF REVENUE, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO TICKETGENIE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless TicketGenie and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use or misuse of the Service or API; (c) your violation of any applicable law or third-party right; or (d) any products, services, or content you create using data obtained from the Service.

13. Termination

By you. You may terminate your account at any time by canceling your subscription through account settings or by contacting us at billing@ticketgenie.io.

By us. We may suspend or terminate your account or access to the Service immediately if we reasonably believe you have violated these Terms, failed to pay amounts owed, used the Service unlawfully, engaged in fraudulent or harmful conduct, exposed credentials or data, or created a security, legal, operational, or reputational risk to TicketGenie, the Service, or other users. We may also discontinue your account or plan for convenience with advance notice where reasonably practicable, unless urgent circumstances, applicable law, or the applicable order form require otherwise.

Effect of termination. Upon termination: (a) your right to access and use the Service ceases immediately; (b) you must stop using API data except as permitted by your plan, order form, written agreement, or applicable law; (c) no refunds will be issued for unused portions of your subscription, except where we terminate for convenience, where required by applicable law, or where expressly stated in a written order form. If we terminate a prepaid subscription for convenience, we may provide a prorated refund or credit for prepaid, unused fees. The following sections survive termination: Acceptable Use, API Terms, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and General Provisions.

14. General Provisions

Governing law. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Courts. You and TicketGenie consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

Modifications. We may update these Terms from time to time. If we make material changes, we provide notice as required by applicable law or as reasonably practicable under the circumstances. Changes may take effect immediately where required by law, necessary for security or operational reasons, or otherwise stated in the notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and TicketGenie with respect to the Service.

No waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
